What's a Good Price for this Car?

There's a used E90 at a Mercedes dealer I'm interested in. It has the following specs:

2009 335i auto sedan w/5400 miles
Alphine White
Premium Package
M Sport Package
Navigation
Park Distance Control
Comfort Access
Satellite Radio
Dynamic Cruise Control
iPod/USB Adapter

I got them down to $39500 + TTL. I want to get it at $38500 OTD, so basically about $37300 + TTL. Good, bad, fair...?

Even at 39.5k that's a pretty good price.
