Need opinions on 09 335xi coupe

Hi,

First time poster, short time lurker. Need opinions on what I should be paying for this car. Original warranty through 8/2013, CPO through 8/2015, 14k miles, M sport package, nav, cold weather package, premium package. Dealer is quoting 40k, what should I be paying? Thanks.
